c. Clients are responsible for the accuracy and legality of the content provided to the Company for use in marketing campaigns and development projects.


3. Payment :
a. Clients shall pay the Company according to the agreed-upon payment terms outlined in the separate agreement or project scope document.
b. In the event of late or non-payment, the Company may suspend or terminate services until payment is received.


4. Intellectual Property :
a. Clients retain ownership of any intellectual property rights related to their pre-existing materials provided to the Company.
b. The Company retains ownership of any intellectual property rights related to its deliverables, including but not limited to website designs, marketing materials, and custom software developed for Clients.
c. Upon full payment, the Company grants Clients a non-exclusive, non-transferable license to use the deliverables for their intended purpose.


5. Confidentiality :
a. Both the Company and Clients agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the services.
b. The Company may disclose information if required by law or if necessary to protect its rights or interests.


6. Limitation of Liability :
a. The Company shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use or inability to use its services.
b. The total liability of the Company, if any, shall not exceed the total fees paid by the Client for the services rendered.


7. Termination :
a. Either party may terminate this Agreement with written notice if the other party breaches any material term of this Agreement.
b. Upon termination, Clients are responsible for payment of any outstanding fees for services rendered prior to termination.


8. Governing Law : This Agreement shall be governed by and construed in accordance with the laws of Jurisdiction. Any disputes arising out of or relating to this Agreement shall be resolved through arbitration or in the courts of Jurisdiction.


9. Entire Agreement : This Agreement constitutes the entire understanding between the Company and Clients and supersedes any prior agreements or understandings, whether written or verbal, relating to the subject matter herein.
